ISA reportó caída del 14 % en su utilidad neta en 2025 tras eventos extraordinarios

ISA, a subsidiary of Ecopetrol, reported a 14% decline in its net profit for 2025 compared to the previous year, ending at $2.4 trillion, impacted by non-recurring extraordinary events, according to information obtained by Semana. The company submitted its accumulated financial results to December to the Superintendencia Financiera.

ISA and its subsidiaries’ consolidated Ebitda reached $8.7 trillion, representing an 11% decrease from 2024, primarily attributed to regulatory adjustments and provisions that affected the period’s performance. According to the official report, without these extraordinary factors, Ebitda would have reached $9.6 trillion, as cited by that media outlet.

Factors influencing the results included the updated methodology for the payment of the financial component (“ke”) of the RBSE – Red Básica del Sistema Existente, as well as the portfolio provision associated with Air-e, which reduced the performance indicators for the period. The company explained that these impacts are not related to the ordinary operation of the business.

For the year to date, the company mentioned that excluding the extraordinary events, net profit would have shown a growth of about 5% compared to 2024. However, accounting and regulatory effects directly impacted the final reported result.

ISA stated that despite the decrease in profits, it will maintain its dividend policy. The company communicated that it will distribute 50% of the profit, equivalent to $1.2 trillion, which will be paid in three installments to shareholders, according to relevant information reported to the market.

Regarding investments, the company noted that during 2025, it executed projects amounting to $6.3 trillion, representing a 31% increase compared to the previous year. Furthermore, it plans investments of $25.5 trillion over the next five years, as part of its strategic expansion and strengthening plan in energy transmission and infrastructure.

ISA, with a 51.4% stake held by Ecopetrol, is also undergoing a leadership transition. On March 3, it was expected that Jorge Andrés Carrillo, who took office in August 2024, would present the financial results. However, a ruling by the Council of State that annulled his election led the board to temporarily suspend his contract.

Following that judicial decision, the company appointed Gabriel Jaime Melguizo Posada as interim president, an electrical engineer with a long-standing career at the company since 1998. Melguizo has held positions such as director of corporate operations, general manager of ISA InterChile, and vice president of the Energy Transmission Business.

The change in leadership occurred after the Fifth Section of the Council of State determined that irregularities existed in the election process of Carrillo. The board decided to suspend the contract while the ruling is finalized, leading to new requests for intervention from the complainants of the case.

In the corporate environment, there have also been mentions that the previous election was surrounded by questions about the procedure followed and the potential omission of a selection process with a headhunting firm, a mechanism provided for in the corporate governance of the company, according to that media outlet.

While the definitive course of the judicial process and the contractual situation of the former president are being determined, ISA continues to operate normally in its business lines. The company reiterated that its financial results reflect both the extraordinary impacts recorded in 2025 and the continuity of its investment strategy in energy infrastructure in Colombia and other countries in the region.
